Terms of Service

These are the standard terms that apply to work carried out by B Square Web LLC. Every engagement also has its own written scope and quote, and where the two differ the engagement document wins. This page is a summary for people deciding whether to work with us, not a substitute for legal advice.
The audit
- The audit fee is $500, invoiced before work begins. Delivery is five business days from payment and receipt of the access we have asked for.
- If you engage us for any service within ninety days of receiving your audit, the full $500 is credited against your first invoice.
- The completed audit is yours. You may share it, act on it yourself, or hand it to another provider. We claim no restriction on its use.
- If the audit finds no material issues we will tell you and refund the fee.
Website builds
- Quoted as a fixed price against an agreed written scope before work starts. That number does not change unless you ask for something outside the scope, and any change is quoted and approved in writing first.
- Payment is fifty percent to begin and fifty percent on launch.
- Ownership of the finished code, content and design transfers to you on final payment. Hosting and domain accounts are registered in your name throughout.
- Thirty days of fixes after launch are included. Faults in our work are corrected at no cost at any time.
Monthly services
- Invoiced on the first of the month for that month, payable net fifteen days.
- Monthly services carry a six-month initial term. After that either party may end the arrangement with thirty days written notice, and email counts as writing.
- Each monthly tier has a stated capacity. Exceeding it moves you to the next tier rather than adding a series of small charges, and we tell you before that happens.
- Advertising spend, call-tracking usage, hosting, storage, LLM tokens, SMS and voice minutes, and payment-provider fees are billed at cost and never inside a management fee.
- There is no termination fee and no clawback of work already delivered.
- Google Ads budgets are paid by you directly to Google from an account in your name. We never hold client ad spend and never take a percentage of it.
What you are responsible for
- Providing access to the accounts we need, and the legal right to grant it.
- Providing content, photographs and approvals within the timeframes in the project schedule. Delays here move the delivery date.
- Ensuring anything you supply is yours to use, and does not infringe someone else's rights.
What we are responsible for
- Delivering the agreed scope competently and on schedule.
- Correcting faults in our own work at no charge.
- Telling you when we think a piece of work is not worth doing, including when that costs us the invoice.
What we cannot promise
Search rankings are determined by Google and no agency controls them. We do not guarantee specific positions, traffic volumes or revenue, and you should treat any provider who does with suspicion. What we commit to is the work described in your scope, carried out properly, reported honestly.
Liability
Our total liability under any engagement is limited to the fees you have paid us in the twelve months preceding the claim. Neither party is liable to the other for indirect or consequential losses.
Governing law
These terms are governed by the laws of the State of New York, and any dispute falls to the courts of Monroe County.
